1. Definitions and Interpretation

"Services" refer to all AI automation solutions provided by Be Green AI.

"Client" or "You" refers to the individual or entity engaging Be Green AI’s services.

"Confidential Information" means information disclosed during the service that is designated confidential or would be reasonably considered confidential.

2. Acceptance of Terms

By engaging with Be Green AI, you confirm that you have read, understood, and agreed to abide by these Terms. If you do not agree, please refrain from using our services.

 

3. Scope of Services

Be Green AI provides AI-driven automation services tailored to your business. Services will be outlined in a Statement of Work ("SOW") agreed upon before project commencement.

 

4. Payment and Fees

Pricing: Fees are outlined in the SOW or on our website. Any additional services beyond the SOW may incur additional fees.

Invoicing: Invoices are issued in advance of work, and payments are due within 7 days unless otherwise stated in the SOW.

Late Payments: Delays beyond 30 days may result in service suspension until outstanding payments are cleared.

5. Confidentiality

Both parties agree to protect each other's Confidential Information and not disclose it to third parties. This obligation remains for [two years] after termination of services.

 

6. Intellectual Property

Be Green AI IP: Be Green retains ownership of all proprietary processes, code, and automation frameworks developed during the service.

Client Data: You retain ownership of all data provided to Be Green AI, and we agree not to use it for any purpose outside of the agreed services.

7. Service Limitations and Warranties

Be Green AI provides services on an "as-is" basis, without any warranty of uninterrupted functionality. However, we commit to maintaining our systems to the best of our ability and informing you of any disruptions.

 

8. Limitation of Liability

To the extent permitted by law, Be Green AI is not liable for any indirect, incidental, or consequential damages arising from your use of our services. Our total liability shall not exceed the amount paid for services over the previous six months.

 

9. Termination

By Client: You may terminate services by providing 30 days' written notice.

By Be Green AI: We reserve the right to terminate services in the event of breach of these Terms, failure to pay fees, or misuse of services.

Post-Termination: Upon termination, all outstanding payments become immediately due. Be Green will cease access to services and delete client data, subject to any legal retention obligations.

10. Governing Law

These Terms are governed by the laws of England & Wales, without regard to conflict of laws principles.

 

11. Dispute Resolution

Any disputes arising under these Terms shall first be attempted to be resolved through negotiation in good faith. If unresolved, disputes may proceed to Small Claims Court.

 

12. Amendments to Terms

Be Green AI reserves the right to modify these Terms as needed. Clients will be notified of significant changes by email.
